“Wynn Resorts Executives Tried to Hide Misconduct Allegations Against Steve Wynn, Regulators Say,” The Wall Street Journal, April 3, 2019.  Did executives scheme to hide their boss’s bad behavior?

Do executives in a company have a duty to disclose bad conduct by their president?  Do they have a duty to the state licensing board and to their shareholders to not take steps to actively cover up such behavior?
